Terms & Conditions
The commercial terms that apply to quotations, projects and digital services supplied by Lemon Designs.
Lemon Designs, also known as Lemon Web Designs is the business and service provider referred to as “Lemon Designs”, “we”, “us” or “our” in this policy.
1Scope of Services
Lemon Designs, also known as Lemon Web Designs provides digital services including website design and development, WordPress work, e-commerce development, search engine optimisation (SEO), AI visibility, GEO/AEO work, digital visibility services, related technical services and other work specifically agreed in writing.
The quotation, proposal, project specification, email approval, written brief or other agreed project document forms part of these Terms and determines the actual scope, deliverables, exclusions, price and timing for a particular project.
2Quotations & Acceptance
Unless stated otherwise, quotations are valid for 7 calendar days. A project is accepted when the client accepts the quotation or scope in writing and pays the required deposit, or otherwise confirms acceptance in a manner agreed by the parties.
A standard deposit of 50% is required before work begins unless a different payment arrangement is stated in writing.
3Payment, Deposits, Cancellation & Refunds
Invoices are payable by the due date shown on the invoice or quotation. The final balance is due before launch, handover, transfer of final files, administrative credentials or other final deliverables unless otherwise agreed in writing.
Once work has commenced, deposits and payments are not refundable merely because the client changes direction, delays the project or decides not to proceed. However, nothing in these Terms excludes a mandatory right or remedy that cannot lawfully be excluded under the Consumer Protection Act, ECTA or other applicable South African law.
Where a client has a statutory cancellation right, any cancellation charge will be limited to a reasonable amount permitted by law and may take into account work already performed, capacity reserved, non-recoverable third-party costs, the nature of the services and the notice given.
Failure to pay an amount when due may result in work being paused, launch being withheld, access being withheld where lawful, or further services being suspended until the account is brought up to date.
4Client Responsibilities
The client must provide accurate instructions, content, images, logos, products, pricing, policies, access credentials and other materials reasonably required for the project. Unless otherwise agreed, requested project material should be supplied within 7 working days of the project start or request.
- The client must have the right to use all material supplied to Lemon Designs, also known as Lemon Web Designs.
- The client is responsible for the legality, accuracy and regulatory compliance of its own business claims, products, services, pricing, policies and supplied content.
- The client must review drafts and provide approvals or corrections within a reasonable time.
- The client must keep copies of important credentials and business data provided to it after handover.
5Project Timelines, Delays & Inactivity
Project dates are estimates unless an exact deadline is expressly agreed in writing. Delays caused by missing content, late approvals, changed requirements, third-party providers, platform outages, force majeure events or client inactivity may extend the completion date.
If a project becomes inactive because required client input is not supplied, Lemon Designs, also known as Lemon Web Designs may pause the project and reschedule the remaining work according to current availability. Re-starting a long-dormant project may require a revised quotation where the original assumptions, technology or scope have materially changed.
6Revisions, Final Amendments & Scope Creep
Reasonable revisions that fall within the written scope will be dealt with as part of the agreed project. Requests that introduce new pages, new functionality, substantially different designs, repeated changes to previously approved work, additional integrations or other requirements outside the agreed scope are additional work.
Additional work is billed at the prevailing rate, currently R550 per hour, unless separately quoted. Where applicable, additional pages are currently priced from R1,050 per static page and R1,650 per dynamic page. A written quote or estimate may override these standard rates.
7Web Design, Development & Compatibility
Websites are developed for modern supported browsers and responsive use on common desktop, tablet and mobile screen sizes. Absolute identical rendering across every device, browser, operating system, assistive technology or future software version is not guaranteed.
Where WordPress, WooCommerce, plugins, themes, APIs or other third-party systems are used, their future behaviour, pricing, compatibility and availability remain outside the direct control of Lemon Designs, also known as Lemon Web Designs.
8SEO, AI Visibility, GEO & AEO
SEO and AI visibility work is intended to improve technical quality, discoverability, relevance, content structure, entity signals and search/answer-engine visibility. No specific Google ranking, AI citation, traffic level, lead volume, revenue, indexing outcome or time-to-rank can be guaranteed.
Search engines, AI systems, social platforms and other third parties independently decide how content is crawled, indexed, ranked, displayed, cited or excluded. Algorithms, policies, competitors, market conditions and platform behaviour can change without notice.
9Hosting, Domains, Email & Third-Party Services
Unless expressly included, the client is responsible for third-party hosting, domains, software licences, premium plugins, payment gateways, delivery systems, email services, APIs and subscriptions. Third-party fees may recur independently of Lemon Designs, also known as Lemon Web Designs.
Lemon Designs, also known as Lemon Web Designs is not responsible for outages, suspensions, data loss, price changes, security incidents, account restrictions, API changes or service failures caused by external providers, although reasonable assistance may be offered as separately agreed work.
10Intellectual Property & Licence
Until all amounts due for a project have been paid, project-specific deliverables, design work, custom code and other created materials remain under the control of Lemon Designs, also known as Lemon Web Designs. Third-party assets remain subject to their own licences.
After full payment, the client receives a perpetual licence to use the completed deliverables for the intended project unless ownership or licensing is stated differently in writing. Reusable internal methods, frameworks, utilities, generic code, know-how and pre-existing intellectual property remain the property of their respective owners.
11Portfolio & Marketing Use
Unless confidentiality or a different arrangement is agreed in writing, Lemon Designs, also known as Lemon Web Designs may identify completed work in its portfolio, case studies, social media and marketing material, including reasonable screenshots and project descriptions.
12Security, Backups & Maintenance
Reasonable care is taken when building and configuring websites, but no internet-connected system can be guaranteed to be permanently secure or error-free. Ongoing maintenance, backups, malware monitoring, plugin updates, hosting management and security support are only included where expressly agreed.
After handover, the client is responsible for maintaining appropriate backups, account security, passwords and software updates unless an ongoing service agreement states otherwise.
13Data Protection & Confidentiality
Personal information is handled in accordance with the published Privacy Policy and applicable South African privacy law. Each party should protect confidential project information and credentials that are not intended for public disclosure.
14Limitation of Liability
To the fullest extent permitted by law, Lemon Designs, also known as Lemon Web Designs is not liable for indirect, special, incidental or consequential loss, including loss of profit, revenue, data, rankings, opportunities or business interruption arising from the services or third-party systems.
Where liability cannot lawfully be excluded, aggregate liability arising from a particular service will, to the extent permitted by law, be limited to the amount actually paid to Lemon Designs, also known as Lemon Web Designs for that particular service giving rise to the claim. Nothing in these Terms excludes liability that South African law prohibits a supplier from excluding.
15Force Majeure
Neither party will be responsible for delay or failure caused by events reasonably beyond its control, including major infrastructure failures, power or connectivity outages, cyber incidents affecting third parties, natural disasters, labour disruption, government action or widespread platform failures. Obligations will resume as reasonably possible.
16Project Completion & Handover
A project is complete when the agreed deliverables have been provided and the agreed final amendments within scope have been addressed. Work requested after completion or sign-off is new or additional work unless an ongoing support agreement applies.
17Complaints & Disputes
Clients should raise concerns promptly in writing so that the issue can first be investigated and, where appropriate, corrected. The parties should attempt in good faith to resolve a dispute directly before commencing formal proceedings, without limiting any statutory consumer right.
18Governing Law
These Terms are governed by the laws of the Republic of South Africa. Subject to any mandatory consumer forum or jurisdiction that applies, disputes will be dealt with in the courts or tribunals having lawful jurisdiction in or relevant to Western Cape, South Africa.
19Changes to These Terms
These Terms may be updated from time to time. The version published on the website applies from its stated effective date, but changes do not retrospectively alter a separately signed agreement unless the parties agree otherwise or the law requires it.
